Terms and Conditions
The following Terms and Conditions apply to sales made on the BoardPerfect website ("the Site" or "website") only. BoardPerfect
offers secure online shopping using the latest standards for encrypted transmission of data. You can tell you are shopping in
a secure environment by: Viewing the web site address: The web site address should begin with "https://". Your browser will
display a "padlock" on the bottom right or left of your browser.
Updates & Changes
Due to our continuing effort to improve our products, specifications may change. BoardPerfect will make every effort to keep
our web site updated with current specifications and prices.
Interpretation
In these Terms and Conditions, the following words and phrases shall have the following meanings:
- 'Buyer' means the person, firm or company who purchases the goods from BoardPerfect'
- 'Company' means BoardPerfect, owned by Westland Beheer BV, based in the Netherlands.
- 'Contract' means the contract between the Company and the Buyer which shall incorporate these Terms and Conditions
- 'Goods' means any goods agreed in the accepted order form to be supplied by the Company to the Buyer
- 'Place of Delivery' means the place to which the goods are to be delivered
The terms 'Company', 'BoardPerfect', 'BoardPerfect.eu' and 'BoardPerfect.com' may be interchangeable in this document. They all mean
BoardPerfect. In these Terms and Conditions, reference to any statute or statutory provision shall be construed as a reference to such
statute or statutory provision as amended, modified, re-enacted or replaced from time-to-time.
Your account
If you register at our website, you are responsible for maintaining the confidentiality of your account and password, and for restricting
access to your computer to prevent unauthorized access to your account. You agree to accept responsibility for all activities that occur
within your account or with your password. You should take all necessary steps to ensure that your password is kept confidential and secure
and you should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password
is being, or is likely to be, used in an unauthorized manner. Please ensure that the details you provide us with are correct and complete,
and inform us immediately of any changes to the information that you provided when registering. You can access and update much of the
information you provided us with in the 'My Account' area of the website.
BoardPerfect reserves the right to refuse access to the website, terminate accounts, remove or edit content, or cancel orders at our discretion.
If we cancel an order, it will be without charge to you.
Privacy policy
Our Privacy Policy, which also governs your visits to BoardPerfect. BoardPerfect provides this information to inform you about the information we
collect and how we use it.
Information we collect
BoardPerfect collects the following required information for a shipping and billing address when an order is placed or a customer account is created:

How we use your information
BoardPerfect uses the information you provide as follows:
- For a billing address to verify B2B or retail customer and the applicable Tax regulation.
- To create a Opt-In Mailing list in order to distribute newsletters and special discounts and offers. (With user's permission)
Sharing information
BoardPerfect does not share your information with the exception of verifying your billing address with our authorization merchant. BoardPerfect
does not sell customer information at any time.
Our partners
BoardPerfect may provide a link to partners on the BoardPerfect site. BoardPerfect recommends that you check the privacy policy of our partners
to ensure they meet your privacy standards.
Newsletter subscription
We offer you the ability to add your name to our mailing list. When you order from us, we ask for your email address. If you choose to join
mailing list, your email address is required in order to communicate with you about your order.
Access to boardperfect.com
By showing the products on the website, BoardPerfect is making an offer only to those who are legally capable of accepting, and do accept, such offer
on the terms and conditions set out below. If you place an order for products shown on the website, your order will be deemed an acceptance to
these terms of use.
In order to maintain website reliability and integrity, maintenance works may need to take place regularly. Such works may affect your site usage, and
may interrupt your access to the website. We will do our best to ensure that availability of the website will be uninterrupted and that transmissions
will be error-free. However, due to the nature of the Internet, this cannot be guaranteed. Your access to the website may also be occasionally suspended
or restricted to allow for repairs, maintenance, or the introduction of new facilities or services.
License for website access
This site and its web content, which includes but is not limited to, text, photographs, icons and all other images, are protected by copyright.
Any copying, reproduction or adaptation of such copyright works for commercial purposes is strictly prohibited unless prior written authorization
is obtained from BoardPerfect.
You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout or form)
of BoardPerfect's without expressed written consent. You may not use any meta-tags or any other "hidden text" using BoardPerfect's names or trademarks
without obtaining written authorization from BoardPerfect. Any unauthorized use terminates the permission or license granted by BoardPerfect.
Demo
Where a demo of the product is shown to and inspected by the Buyer, the parties hereto accept that such a sample is so shown and inspected for the sole
purpose of enabling the Buyer to judge for itself the quality, and not so as to constitute a sale by sample. The demo is a fully operational product
without the option to save the results.
Your conduct
You must not use the website in a way that causes, or is likely to cause, the website, or access to it, to be interrupted, damaged or impaired in any way.
You understand that you, and not BoardPerfect, are responsible for all electronic communications and content sent from your computer to us and you must
use the website for lawful purposes only.
You must not use the website for any of the following: for fraudulent purposes, or in connection with a criminal offence or other unlawful activity. To send,
use or reuse any material that is illegal, offensive, abusive, indecent, defamatory, obscene or menacing; or in breach of copyright, trademark, confidence,
privacy or any other right; or is otherwise injurious to third parties; or objectionable; or which consists of or contains software viruses, political campaigning,
commercial solicitation, chain letters, mass mailings or any "spam" to cause annoyance, inconvenience or needless anxiety.
Reviews, comments, communications and other content
Users of this website may post reviews about the product listings, as long as the content is not illegal; obscene; abusive; threatening; defamatory; invading
privacy; infringing intellectual property rights or otherwise injurious to third parties; objectionable and does not consist of or contain software viruses,
political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false e-mail address, impersonate any
person or entity, or otherwise mislead as to the origin of any content. BoardPerfect reserves the right (but not the obligation) to remove or edit any content.
Copyright and database rights
All content included on the website, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software,
is the property of BoardPerfect or its content suppliers, and is protected by Dutch and international copyright and database right laws. The compilation
of all content on this website is the exclusive property of BoardPerfect and is protected by Dutch and international copyright and database right laws.
All software used on this website is the property of BoardPerfect, or our software suppliers and is protected by Dutch and international copyright laws.
Trademarks
BoardPerfect, the BoardPerfect logo, and other marks indicated on our website, are trademarks or registered trademarks of BoardPerfect. BoardPerfect's graphics,
logos, page headers, button icons, scripts and service names are the trademarks or trade dress of BoardPerfect. BoardPerfect's trademarks and trade dress may
not be used in connection with any product or service that is not BoardPerfect's, in any manner that is likely to cause confusion among customers, or in any
manner that disparages or discredits BoardPerfect. All other trademarks not owned by BoardPerfect that appear on this website are the property of their
respective owners, who may or may not be affiliated with, connected to, or sponsored by BoardPerfect.
The contract
The contract shall be based on these Terms and Conditions to the exclusion of all other terms and conditions, including any such terms and conditions that are
purported to be included or applied by the buyer.By purchasing a product through the site, you agree that such purchase and the import of such product complies
with the laws of the country to which you have requested BoardPerfect to ship the product, and agree that you will be considered the sole "Importer" of the
product to your country for all purposes, including customs regulations and copyright and trademark laws. You acknowledge and agree that BoardPerfect's role is
limited to procuring products available in The Netherlands and other regions and making these products available through the site to you for purchase in
The Netherlands and for your import to your country.
No terms and conditions contained in the confirmation of order, purchase order or other document of the buyer will form part of the contract. When you place an
order to purchase a product from BoardPerfect, we will send you an e-mail confirming receipt of your order and containing the details of your order. Your order
represents the purchase of a product which is accepted by us when we send e-mail confirmation of a dispatched product (the "Dispatch Confirmation E-mail").
That acceptance will be complete at the time we send the Dispatch Confirmation E-mail to you. Any products on the same order which we have not confirmed in
a Dispatch Confirmation E-mail do not form part of that contract.
Returns policy
To return product for defects, incorrect orders, or any other reason, a Return Authorization (RA) is required. Please notify our Customer Service department to
request a Return Authorization or file a request online through your secure Storefront. Please provide information regarding the nature of the problem, the
invoice number under which the merchandise was purchased and the date of the invoice of the product in question.
A Return Authorization number may only be used one time and only for the items and quantities specified under the RA. Returns will not be authorized for products
shipped more than 30 days prior to notification. BoardPerfect will NOT accept or process any returns made without proper authorization. Customers in the
European Union are entitled to a statutory cooling-off period of seven business days.
Pricing and availability
Product prices are displayed in the BoardPerfect Storefront online. Due to rapidly changing market conditions, all prices are subject to change without notice.
All products will be invoiced at the price prevailing on the date of order.
Digital delivery (goods) & handling
Any dates specified by BoardPerfect for delivery of the goods are intended to be an estimate only. If no date is specified for delivery of the goods, delivery
shall be within a reasonable time. Subject to the other provisions of these Terms and Conditions, BoardPerfect shall not be liable for any loss, whether direct
or consequential, economic or loss of profits or otherwise, arising directly or indirectly out of any delay in the delivery of the goods. Nor will any delay
entitle the buyer to terminate or rescind the contract unless the delay exceeds 7 days. Orders are shipped via digital delivery as downloadable file unless
otherwise requested. The customer may request a copy of the file for a period of 365 days from the date of delivery at no additional expense.
Payment terms
Payment terms for approved accounts are NET 30 days. Payment of the goods shall be due at the time the Order Confirmation Email is sent. Invoices with payment
overdue by 30 days or longer may be cancelled by BoardPerfect. Payment shall not be deemed to have taken place until the receipt from the Company has been issued.
Subscription
You can extend your subscription at any time during your subscription and within 30 days after your subscription has ended. The time available with the new membership is
added to the time remaining on your current membership. From time to time, BoardPerfect needs to update and enhance the program. BoardPerfect does this to help you
keep your program more reliable. Given how important it is to maintain the quality. BoardPerfect will take care of informing you about new updates and major
product releases.
Sales tax
BoardPerfect charges sales tax if applicable, for any order that is shipped based on customer account specification and after BoardPerfect approval. Authorization may
take up to 48 hours after the online registration. If applicable, sales tax charges will be added to your invoice unless otherwise arranged.
Electronic communications
When you visit BoardPerfect or send e-mails to us, you are communicating with us electronically. We communicate with you by e-mail or by posting notices on the
website. For contractual purposes, you consent to receive communications from us electronically and you agree that all agreements, notices, disclosures and other
communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. This condition does not affect your
statutory rights.
Alteration of service or amendments to the conditions
We reserve the right to make changes to our website, policies, and these Conditions of Use & Sale at any time. You will be subject to the policies of conditions
of Use & Sale in force at the time that you use the website or when you order goods from us, unless any change to those policies or these conditions is required
to be made by law or government authority (in which case it will apply to orders previously placed by you). If any of these conditions are deemed invalid, void,
or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.
Events beyond our reasonable control (force majeure)
We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which
is beyond our reasonable control. This condition does not affect your statutory rights. If either party is subject to an event of Force Majeure, that is circumstances
outside of reasonable control (including, but not limited to war, fire, industrial disputes or civil commotion) the other party must be notified and the first party's
obligations under these Terms shall be suspended until the other party is notified that such an event has ended.
BoardPerfect assumes no liability for applications assistance or customer product design. Customers are responsible for their products and EDA design software
.
To minimize the risks associated with customer products and EDA design software, customers should provide adequate design and operating safeguards in the form
of final connectivity and design-rule checks.
BoardPerfect does not promise any particular results and will not be held responsible for the lack of such results.
Governing law and jurisdiction
If any part of these Terms and Conditions is found to be void or unenforceable by any Court of competent jurisdiction, such part shall be severed from these
Terms and Conditions. They will otherwise remain in full force and effect.
These Terms and Conditions shall be governed by and interpreted according to Dutch Law and the parties submit to the exclusive jurisdiction of the Dutch Courts.
Customers
These terms are only applicable for normal retail and Business-to-Business customers.
